1. Purpose and Scope of Application

1.1. The purpose of these Paid Service Terms and Conditions (“Paid Service Terms”) is to set forth the conditions and procedures for the use of Paid Service (defined below) provided through the Services.

1.2. These Paid Service Terms apply to the Member (“Member” or “you”) who has purchased or used the Paid Service (Coins/ZEM, Paid Products, and In-app Products as defined below).

1.3. These Paid Service Terms are additional terms to the ZEPETO Terms of Use (hereinafter “Terms of Use”). Any matters that are not specified herein shall be as set forth in the Terms of Use.

 

2. Definitions of Terms

2.1. The terms defined in the Terms of Use have the same meaning in these Paid Service Terms.

2.2. Terms additionally used in these Paid Service Terms are defined as follows:

① “Coins/ZEM” refers to an electronic token, including ZEM and Coin, or its information as an electronic payment tool issued by the Company to buy or use In-app Products within the Services. The name may change at the discretion of the Company.

  1. “Paid Coins/ZEM” refers to the Coins/ZEM you purchase on app markets, third party payment platforms or via various payment methods.
  2. “Free Coins/ZEM” refers to the Coins/ZEM the Company distributes on the Services for free, including but not limited to (i) bonus Coins/ZEM given additionally when you purchase “Paid Coins/ZEM” ("Bonus Coins/ZEM”), (ii) activity Coins/ZEM given when you participate in various activities within the Services such as promotion, ad watching, or certain quests achievement hosted by the Company ("Activity Coins/ZEM”), (iii) other Coins/ZEM freely distributed by the Company.

If there are multiple types of Coins/ZEM, they are used in the following order. If you have multiple Coins/ZEM of the same kind, they are used in the order of Coins/ZEM with shorter remaining usage period (or effective period).

  1. Free Coins/ZEM excluding Bonus Coins/ZEM
  2. Bonus Coins/ZEM
  3. Paid Coins/ZEM

All users are prohibited from selling any Paid Coins/ZEM or any Free Coins/ZEM (especially that were achieved in games of chance) for any currency or item of value on any secondary market.

② “Paid Products” refers to products or services related to the Services that you may purchase directly on app markets or other third party payment platforms. Paid Products include but are not limited to subscription products (i.e. premium membership/subscription services), or other products purchased individually (i.e. characters), but do not include Coins/ZEM.

③ “In-app Products” refers to products or services available within the Services, which can be purchased or exchanged by using Coins/ZEM (i.e. Items or coins integrated in World such as Jump Coin).

 

3. Formation of Paid Service Agreement

Paid Service Agreement shall be made when you agree to these Paid Service Terms and terms and conditions of individual transaction, and charge, purchase, or use Paid Service allowed by the Company.

 

4. Details, Period of Use, etc. of Paid Coins/ZEM and Paid Products

4.1. To the extent required by applicable laws, the Company shall notify the Member of the following matters within these Paid Service Terms and the Services in a clear and conspicuous manner so that the Member can accurately understand the transaction (purchase) conditions before purchasing Paid Coins/ZEM and Paid Products. Each of the following pieces of content, including the explanation page as provided in ②, shall be binding upon the Company and the Member as a part of the Paid Service Terms:

① Trade name of the seller, name, address, telephone number, etc. of the representative;

② Details such as type and price, method of use, time and conditions of use of Paid Coins/ZEM and Paid Products;

③ Matters concerning the deadline, method and effect of cancellation of subscription, refund, etc.;

④ Matters concerning compensation for consumer damage, settlement of complaints, and settlement of disputes;

4.2. The usage period (or effective period) of the Paid Coins/ZEM and Paid Products will be determined and notified by the Company. Paid Coins/ZEM and Paid Products not used within a defined period of time may automatically expire following statute of limitations under the Commercial Code or applicable law. However, if other laws and regulations provide a shorter period of the statute of limitations, such provisions shall apply.

4.3. The Company may cancel or amend the types or prices of the Paid Coins/ZEM and Paid Products via advanced notification. However, if the change or cancellation is unfavorable to or has a large impact on the Member, such change or cancellation shall be made through the procedures of notice and notification set forth in Article 2 of the Terms of Use.

4.4. If the Company changes or terminates the types, contents, etc. of the Paid Coins/ZEM and Paid Products pursuant to the preceding Paragraph, and as a result, you are unable to use the existing Paid Coins/ZEM and Paid Products in accordance with the Paid Service Terms at the time of purchase without any fault attributable to you, the Company shall provide you with appropriate compensation for the portion not used. 

 

5. Purchase of Paid Coins/ZEM and Paid Products

5.1. You may purchase Paid Coins/ZEM and Paid Products through payment via app markets such as Google Play, App Store, third party payment platforms, or other payment methods such as credit card, mobile phone, account transfer, etc. provided by the Company for each service platform. However, depending on the status of service provision, purchase of Paid Coins/ZEM and Paid Products may be made only through some methods such as payment via app markets, and if there is a separate third party payment provider ("Third Party Payment Provider”) who manages a payment method or payment platform (“Third Party Payment Method”) through which you pay, you will have to go through Third Party Payment Method ahead of time as per the Third Party Payment Provider’s request in order to proceed with payment through Third Party Payment Method. The Member can freely purchase and use Paid Coins/ZEM and Paid Products, but the purchasing and use of Paid Coins/ZEM and Paid Products may be limited as set forth in the Company’s or Third Party Payment Provider’s operational policies, related laws or guidelines, and government guidelines, etc.

5.2. The Company may not accept an application for a purchase submitted by the Member or postpone such acceptance, and we may terminate the agreement on  Paid Coins/ZEM and Paid Products afterward in the following instances. Additionally, the Member’s application may not be accepted subject to Third Party Payment Provider’s operational policies.  

① Where it is not in its real name or in another person’s name;

② Where we determine that the purchase is the result of theft (e.g., payment from suspicious IP), in light of circumstances such as bulk payment from the same IP, continuous payment from similar IDs, or history of theft;

③ Where false information is stated or mandatory information is not stated in the process of purchase;

④ Where a minor (individual aged under 19 years old, or as defined under applicable law) files an application without the consent of his or her legal representative;

⑤ Where the payment has not actually been made or it is likely that the payment has not actually been made;

⑥ Where you violated any Terms of Use such as copyright infringement on the content (including the Paid Products);

⑦ Where your use has been restricted pursuant to the Terms of Use;

⑧ Other cases where approving the application for purchase is in violation of applicable laws and regulations, social order, good morals or the Company’s relevant terms and conditions.

5.3. The Company may suspend approval until the following issues are resolved. Additionally, approval may be postponed or suspended subject to Third Party Payment Provider’s operational policies.

① A defect occurred in the Services

② Lack of equipment or manpower for a normal operation of the Services

5.4. If the agreement on Paid Coins/ZEM and Paid Products is made after purchasing the Paid Coins/ZEM and Paid Products by the Member, we will immediately deliver the terms and conditions, including each provision of Article 4.1, to you. Provided that you make a payment through Third Party Payment Method, the delivery or notification of the terms and conditions of the agreement shall follow the policy of the relevant Third Party Payment Provider.

5.5. The Company will refund Paid Coins/ZEM and Paid Products in accordance with these Paid Service Terms. Provided, however, regardless of the Company’s refund policies, the refund may be limited or restricted subject to the Third Party Payment Provider’s operational policies.

 

6. Use of In-app Products

6.1. Member may use In-app Products when you agree to these Paid Service Terms and individual terms and conditions within the Service, and exchange or purchase the In-app Products using the payment method set by the Company or by using the Coins/ZEM.

6.2. Articles 5.2 and 5.3 shall apply mutatis mutandis to cases of refusal, suspension of approval, and cancellation of your application for the In-app Products.

6.3. If the agreement on In-app Products is made after you exchange Coins/ZEM into or purchase the In-app Products, we will immediately deliver the details of the terms, including each provision of Article 4.1, to you. Provided that you purchase the In-app Products using Paid Coins/ZEM purchased through Third Party Payment Method, etc., delivery or notifications of the terms and conditions of the agreement shall follow the policy of Third Party Payment Provider.

6.4. In-app Products are immediately “used” after being purchased or exchanged into Coins/ZEM within the Services, and such In-app Products or Coins/ZEM used to purchase them, are not refundable. However, the Company may in certain circumstances refund the Coins/ZEM used to purchase In-app Products (i.e. Items) if the Company removes such In-app Products from the Services for operational reasons (e.g., copyright infringement).  

 

7. Sending Gifts

7.1. You may give gifts to other users within the Services for In-app Products (i.e. Items) in the manner determined by the Company, and the method, limit, procedure, refund, etc. of gifts shall be subject to the policies set by the Company and in accordance with applicable laws.

7.2. If a user accepts the gift, the gifted In-app Product (i.e. Items) is considered to be used at the time that the recipient accepts the gift. Therefore, once accepted by the recipient, the withdrawal, cancellation, or refund is restricted. If the recipient rejects the gift, then the Coins/ZEM used to purchase the gift will be refunded to the user who sent the gift.  

 

8. Special Provisions on Agreements Signed by Minors

8.1. If you are a minor (aged under 19, or as defined under applicable law) or deemed not to be legally competent, you need to take a legal step such as obtaining permission from a legal representative (parents, guardian, etc.) before buying the Paid Coins/ZEM and Paid Products. You cannot buy or enter into a contract for the Paid Coins/ZEM and Paid Products if you fail to obtain prior consent from the legal representative requested by the Company.

8.2. For the purpose of consenting to the payment by a minor under the preceding Paragraph, a legal representative may sign up for payment via a mobile phone following the Company guidelines. Once this process is completed, we will notify legal representatives of the fact and details of the consent.

8.3. During the consent procedure specified in the previous Paragraph, a legal representative can set an effective period of consent as one (1) year according to the Company guidelines, and the Company will ask via SMS, etc. whether the representative wants to extend the consent period thirty (30) days before the expiry date.

8.4. A legal representative may withdraw consent at any time by visiting the customer center page or separate cancellation page displayed below. In this case, purchases made before the cancellation will not be refunded (Article 7, Civil Law of Korea).

8.5. If you are a minor and enter into a contract without the consent of your legal representative, you or your legal representative may cancel the contract. However, if you pretend to be an adult (ages of 19 years or above, or as defined under applicable law) by stealing someone’s personal information to make a purchase, impersonate a legal representative for the consent procedure, or make us believe you are an adult (ages of 19 years or above, or as defined under applicable law) by using someone else’s payment information, you or your legal representative may not unilaterally withdraw any purchases of the Coins/ZEM or Paid Products regardless of whether the consent from a legal representative is false or not under relevant laws.

8.6. If you are a person with limited capacity such as a minor, the use of Coins/ZEM or the purchase of Paid Products may be restricted for certain services determined by the Company. The details of the Services that are restricted will be provided in the content of different parts of the Services. 

 

9. Cancellation

9.1. Under the Act on The Consumer Protection in Electronic Commerce, etc. (hereinafter E-Commerce Act), you may cancel your offer a purchase agreement (hereinafter “Cancellation”) within seven (7) days from the time you are given the purchase details or the Paid Coins/ZEM and Paid Products purchased from the Services. However, if you have used the Paid Coins/ZEM and Paid Products already, the Cancellation shall not be available for the portion used. You will be clearly notified by us of such policy at the time of the purchase of the Paid Coins/ZEM and Paid Products.

9.2. Notwithstanding the foregoing, and where required by applicable laws, you may cancel your offer no later than three (3) months after the date of supply or within thirty (30) days from the day on which you know or are likely to know that the Paid Coins/ZEM and Paid Products do not operate as advertised.

9.3. If you indicate a desire to cancel pursuant to the proviso of Paragraph 9.1. or to Paragraph 9.2., the Paid Coins/ZEM and Paid Products you purchased will be refunded under the E-Commerce Act, and we will take the following steps following the E-Commerce Act or applicable law. Provided, however, regardless of the Company’s refund policies, if you pay through Third Party Payment Method the refund may be subject to Third Party Payment Provider’s operational policies.

9.4. Other matters concerning Cancellation under this Article shall be governed and processed in accordance with the E-Commerce Act or applicable law. 

 

10. Effect of Cancellation

10.1. The Company will refund payments within three (3) business days of your indication of your desire to cancel using the same method as the payment method. If a refund cannot be made in the same way, you will be notified in advance. If a payment requires the confirmation of receipt such as Third Party Payment Method, we will refund the payment within 3 business days from the date of confirmation of receipt.

10.2. If we make a refund under the preceding Paragraph, we may deduct an amount equivalent to the profit you have obtained from using the Paid Coins/ZEM and Paid Products from the refund.

10.3. If we give a refund for goods that you paid for via payment methods such as a credit card or an electronic payment method, we will request that the business operator who provided the payment method to suspend or cancel the request for payment for the goods, etc. without delay. However, this may not apply to the case of the proviso of Paragraph 1 and the case of Paragraph 2.

10.4. If the Company, the party that received the payment for the Paid Coins/ZEM and Paid Products, or the party that concluded the Paid Coins/ZEM and Paid Products use agreement with the Member is not the same person, each party will be jointly responsible for fulfillment of the obligation related to the Cancellation.

10.5. In connection with app market payments (in-app payments), we will take action by the E-Commerce Act including request for suspension and cancellation of payment for the relevant app market. However, please refer to the relevant app market’s policies regarding the measures taken by them at the request of the Company as the measures will be taken in accordance with the relevant app market’s policies. This applies the same to other Third Party Payment Method. 

 

11. Other Returns and Refunds Except for the Cancellation

You may request a refund for any unused Paid Coins/ZEM, and the Company shall proceed with the refund for you in compliance with relevant laws. However, refund requests will be accepted only for Paid Coins/ZEM. Any Free Coins/ZEM, Paid Products (such as premium membership/subscription services or other products which are immediately “used” after being purchased), or In-app Products are not refundable. Please see the details of Refund procedures in Article 10. 

 

12. Termination

12.1. Either the Member or the Company may terminate the agreement if the other party fails to fulfill the obligations defined in Paid Service Terms for a considerable period of time.

12.2. The Company may immediately terminate the agreement on Paid Service with you if either ① or ⑦ (limited to someone who is permanently restricted from using the Services) of Article 5.2. applies to you. If you are subject to permanent restriction of use, the Paid Service will not be recovered or refunded.

12.3. You need to use up your remaining Coins/ZEM or have your remaining Coins/ZEM refunded to you before withdrawing from the Services as your personal information will be deleted after withdrawal under the Personal Information Protection Act and applicable data protection laws. If you leave the Services without a refund request despite our notification, the Company will not be responsible for Coins/ZEM recovery or a refund. 

 

13. Our Limitation to Liability

13.1. The Company shall not bear any responsibility for damages incurred in the event of non-delivery of the Paid Service you charged or purchased due to force majeure events such as natural disasters.

13.2. If the Paid Service is purchased for reasons attributable to you and therefore cannot be provided to you as agreed, the Company shall not be held liable unless there is willful misconduct or gross negligence on the part of the Company.

13.3. The Company shall not be responsible for any disputes outside the Services that occur between Members or between the Member and a third party because of the Paid Service except for cases where the Company is required to assume liability by law or the Paid Service Terms. 

 

14. Assignment Prohibition

The Member shall not assign its contractual status, rights and obligations arising from the Paid Service Terms to a third party or engage in any act of disposal such as pledge. 

 

15. Settling Disputes with the Company and Compensation

15.1. If you receive any damages, such as not being able to normally use Paid Coins/ZEM and Paid Products or In-app Products that you already paid for, due to our willful misconduct or negligence, we will take every effort to address the issue and provide proper compensation in accordance with our policies and applicable law.

15.2. The Company shall operate the following webpage to resolve consumer issues such as compensation for damages, handling of complaints and disputes, and refunds.
